Terms & Conditions
Effective date: 12 July 2026. These Terms & Conditions ("Terms") govern your use of digitalpatra.in ("DigitalPatra", "we", "us", "our"), a service operated from Bengaluru, Karnataka, India. By placing an order or otherwise using this website, you agree to be bound by these Terms. If you do not agree, please do not use the service.
1. Scope of Service
DigitalPatra is a technology platform that assists you in preparing rental agreements, e-stamping documents you upload yourself, and building documents from our clause library; facilitates the purchase of government e-stamp paper for the applicable stamp duty; and enables electronic signing of eligible documents through Aadhaar-based eSign. Our service is currently available only for documents governed by the laws of the State of Karnataka, India.
DigitalPatra is not a law firm and does not provide legal advice, legal opinions or legal representation. Use of this website and our templates does not create an advocate–client relationship. The agreement templates we offer are standard formats; if you need advice on whether an agreement suits your specific circumstances, please consult a qualified advocate before approving your draft.
2. Eligibility
You must be at least 18 years of age and competent to contract under the Indian Contract Act, 1872 to use this service. Because the final document is executed using Aadhaar-based eSign, every signing party must hold a valid Aadhaar number with a linked, active mobile number capable of receiving the one-time password (OTP) required for authentication. If any party cannot complete Aadhaar eSign, the document cannot be executed through our platform.
3. Accuracy of Information You Provide
The agreement is generated from the details you enter — names, addresses, property particulars, rent, deposit, duration and other terms. You are solely responsible for the accuracy, completeness and lawfulness of all information you provide. We do not independently verify party details or property ownership. Errors carried into the final document from information you supplied and approved are your responsibility, subject to the correction provisions in our Refund & Cancellation Policy.
4. Purchase & Payment Terms
Our service fee is Rs. 400 per rental agreement ("patra") and Rs. 500 per uploaded or clause-built document, always shown at checkout before payment. In addition, government stamp duty is charged at actuals — that is, the exact stamp duty payable to the Government of Karnataka for your agreement, with no markup. The applicable stamp duty is shown to you before payment. Volume pricing tiers are available for chartered accountants, brokers, property managers and other professionals who process multiple agreements; contact us at support@digitalpatra.in for professional pricing. Payments are accepted through cards, UPI, netbanking and wallets via our authorised payment gateway (Cashfree). All fees are in Indian Rupees (INR). Prices may be revised prospectively; the price shown at checkout is the price you pay.
5. Review-and-Approve Flow
After the order is submitted, the draft is sent to the Owner (lessor) for review first, and after the Owner approves, to the Tenant (lessee). Either party may request unlimited corrections; a revised draft returns to the Owner for fresh review. Nothing is stamped or signed, and no payment is collected, until both parties approve. The government e-stamp is purchased only after both approvals and payment by the designated paying party. Please review the draft carefully — once the e-stamp is generated, stamp duty is paid to the government and cannot be recovered by us (see our Refund & Cancellation Policy). By approving a draft, each party confirms its contents are accurate and authorises us to proceed.
6. Intellectual Property
All content on this website — including agreement templates, text, graphics, logos, page designs and software — is owned by or licensed to DigitalPatra and is protected under applicable intellectual property laws. You receive a limited, non-exclusive, non-transferable licence to use the final executed agreement for your own lawful purposes. You may not copy, resell, scrape or redistribute our templates, content or any part of the platform without our prior written consent.
7. User Content
You retain ownership of the information and documents you submit to us. By submitting them, you grant us a limited licence to use that content solely to prepare, stamp, facilitate signing of, deliver and store your agreement, and to comply with law. You warrant that the content you submit does not infringe any third party's rights and is not unlawful, defamatory or fraudulent.
8. Cookies
This website uses cookies and similar technologies to keep you signed in, remember your progress and understand how the site is used. By continuing to use the site you consent to our use of cookies as described in our Privacy Policy. You can disable cookies in your browser, but parts of the service may not function correctly without them.
9. Hyperlinking to Our Website
Government bodies, news organisations and other businesses may link to our home page or publicly available pages, provided the link is not misleading, does not falsely imply sponsorship or endorsement, and fits the context of the linking site. We reserve the right to request removal of any link to our website at our discretion. Our website may contain links to third-party sites (for example, government verification portals); we are not responsible for the content of external sites.
10. Content Liability
We shall not be held responsible for any content that appears on websites that link to us or that we link to. You agree to protect and defend us against claims arising from content you submit through the platform. No link should appear on any website that may be interpreted as libellous, obscene, criminal, or which infringes or advocates the infringement of any third-party rights.
11. Disclaimer — Accuracy of Website Information
We make reasonable efforts to keep information on this website (including indicative stamp duty figures and process timelines) accurate and current, but we do not warrant that it is complete, accurate or up to date at all times. Stamp duty rates, government portal availability and eSign provider requirements are set by third parties and may change without notice. Website information is provided "as is" for general guidance and does not constitute legal advice.
12. Reservation of Rights
We reserve the right to refuse or cancel any order, suspend or terminate access to the service, amend these Terms, and modify or discontinue any feature of the platform at any time. Where an order is cancelled by us before work is completed, amounts you have paid will be refunded in accordance with our Refund & Cancellation Policy. Continued use of the service after Terms are updated constitutes acceptance of the updated Terms.
13. Prohibited Documents and Uses
Certain documents are excluded from electronic signing under the Information Technology Act, 2000 (First Schedule) and cannot be processed through our platform. These include: wills and other testamentary dispositions; trusts; powers of attorney; negotiable instruments (other than cheques); and contracts for the sale or conveyance of immovable property or any interest in such property.
Separately, and regardless of whether a document appears on the statutory list above, any document that requires notarization by a Notary Public (under the Notaries Act, 1952) or compulsory registration at a Sub-Registrar's office (under the Registration Act, 1908 — including gifts or other transfers of immovable property) cannot be completed through electronic signature on this platform, since these require the signing party's physical presence before a notary or registering officer, which no e-signature can substitute for. Where we offer such a document type, we may still assist with preparing it and calculating/applying the applicable government e-stamp duty, but you must sign, notarize and/or register it yourself through the appropriate physical channel — we will always flag this clearly on your order before you pay.
We prepare rental/lease agreements, and (where separately offered) a limited set of other document types, only in the forms made available on this website. You must not use the service for any unlawful, fraudulent or deceptive purpose, to impersonate any person, or to create documents involving parties who have not consented. We may refuse, suspend or report any order that we reasonably believe violates this section or applicable law.
14. Limitation of Liability
To the maximum extent permitted by law, DigitalPatra shall not be liable for any indirect, incidental, special or consequential loss, loss of profits, or loss arising from delays or failures of government e-stamping systems, the eSign provider, payment gateways, or telecom networks.
Maximum claim. Our total aggregate liability for any and all claims arising out of or relating to the service, however caused (including any error, inaccuracy or defect in the agreement, the e-stamp, or the signing process), shall not exceed the total amount actually collected by us from you for the specific order giving rise to the claim (that is, our service fee plus any stamp duty amount collected through us for that order). You shall not be entitled to claim any other loss, damage, or compensation beyond this amount. This cap reflects that both parties are given a full opportunity to review and approve the draft agreement before we purchase the government e-stamp (see Section 5, "Review-and-Approve Flow") — approval at that stage confirms the content is correct and complete to each party's satisfaction, and no e-stamp is purchased or signing initiated until both parties approve and payment is made. Nothing in these Terms limits liability that cannot be limited under applicable law.
15. Governing Law and Jurisdiction
These Terms are governed by the laws of India and the State of Karnataka. Subject to any mandatory provisions of applicable consumer protection law, the courts at Bengaluru, Karnataka shall have exclusive jurisdiction over any dispute arising out of or in connection with these Terms or the service.
